BY PLACING AN ORDER OR BID ON THE GRAYBAR SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, ACCEPTED AND HAVE AGREED TO BE BOUND BY THESE TERMS AND CONDITIONS OF SALE. THESE TERMS AND CONDITIONS OF SALE ARE SUBJECT TO CHANGE WITHOUT PRIOR NOTICE AT ANY TIME.

Graybar only ships in the 48 contiguous United States and charges applicable state sales taxes.

Once the auction closes with a successful bid, it is the responsibility of the winner to close the sale with Graybar per instructions to follow the sale by email. The price, plus shipping and applicable sales tax, will only be valid for 5 days once the auction has closed with a winning bid.

1. Agreement. This Agreement, including its associated warranty statements and license agreements, if any, is the complete agreement between you and Graybar regarding acquisition of the goods.
   
   
2. Auctions. Graybar may cancel any auction at any time without notice.
   
   
3. Title and Risk of Loss. Graybar transfers title to you upon shipment. However, Graybar reserves a purchase money security interest in the goods until Graybar receives payment of all amounts due. Graybar bears the risk of loss for the goods through the date on which Graybar delivers the goods to you.
   
   
4. Payment Terms. Graybar accepts Visa/MasterCard, Discover or American Express cards. Your credit card will be charged once your purchase is shipped for delivery. Graybar does not accept PayPal or eBay Direct Pay as payment for goods purchased in our auctions.
   
   
5. Taxes. Prices shown do not include sales or other taxes imposed on the sale of goods. State or local sales taxes will be added to your purchase based on the final purchase price and on the delivery address, as required by law. We are unable to process any tax-exempt orders.
   
   
6. Shipment. Unless otherwise noted, all purchases from Graybar will be shipped via United Parcel Service (UPS) Ground. Because goods may be shipped from different warehouse locations, you may receive more than one shipment to complete a single order. Shipping charges are based on weight and the destination location of the shipment. Due to shipper restrictions, we can deliver to street addresses only.
   
   
7. Delay in Delivery. Graybar will not be liable for delays in delivery occasioned by acts of God or other circumstances beyond its control. Shipment dates are our best estimates, but in no event will Graybar be liable for any special or consequential damages arising from any delay in delivery.
   
   
8. Warranty. ALL GOODS ARE SOLD "AS IS" AND GRAYBAR DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES AND SPECIFICALLY MAKES NO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR PURPOSE. NOTWITHSTANDING ANY PROVISION CONTAINED IN THIS AGREEMENT TO THE CONTRARY, IN NO EVENT WILL GRAYBAR BE LIABLE FOR SPECIAL OR CONSEQUENTIAL DAMAGES.
   
   Goods sold on the Graybar site may be subject to manufacturer warranties. Where permissible, Graybar assigns those manufacturer warranties to you. Any technical support must be obtained directly from the manufacturer of the goods.
   
   Limitation of Liability. Graybar's liability shall be limited to either repair or replacement of the goods or refund of the purchase price, all at Graybar's option, and in no case shall Graybar be liable for special or consequential damages.
   
   
9. Return Policy. All sales are final. Returns will not be accepted.
   
   
10. Trademarks. The trademarks, service marks and logos ("Trademarks") used and displayed on this site are registered and unregistered trademarks of Graybar Services, Inc. Nothing on this site should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Trademark displayed on this site. The Trademarks may not be used in any way including in advertising or publicity pertaining to distribution of materials on this site, without prior written permission from Graybar Services, Inc.
    
    
11. Use License. Graybar grants you permission to view this site and to print individual pages from this site for your own personal use, provided that you agree to and accept without modification the notices, terms and conditions set forth in this Agreement. You may not modify, copy (except as set forth in the preceding sentence), distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information, material, software, goods or services from this site. Your use of this site constitutes your agreement and acceptance without modification the notices, terms and conditions set forth herein. In addition, as a condition of your use of this site, you represent and warrant to Graybar that you will not use this site for any purpose that is unlawful, immoral or prohibited by these terms, conditions and notices. Other than the Agreement between you and Graybar relating to the sale of products to you through this site, Graybar will not enter into any agreement with you or assume any obligation to you through this site and no attempt to create such an agreement will be effective.
    
    
12. General. Any terms of this Agreement which by their nature extend beyond the Agreement termination remain in effect until fulfilled and apply to our respective successors and assigns.
    
    All your rights and Graybar's obligations are valid only in the United States. Graybar will not process any orders for delivery to addresses that are not valid within the United States.
    
    Both parties agree that the laws of the State of New York will govern, interpret and enforce all of the parties' rights, duties and obligations arising from, or relating in any manner to, the subject matter of this Agreement without conflict of laws principles.
